Yan Wenling steps down as Independent Executive Director of Swire; O'Gordon appointed as Swire UK Director

Taikoo Holdings announces that Yan Wenling will resign from her role as an independent non-executive director and will not participate in the re-election. Zhang Mingming and He Shuyun are respectively appointed as independent non-executive directors and become members of the Remuneration and Audit Committees. O'Gordon is transferred to an independent non-executive director, and Xu Ying will assume the chairmanship of the Remuneration and Nomination Committees. These changes will take effect after the annual general meeting.

Swire Pacific Limited (00019) announced that Yan Wenling will retire as an independent non-executive director of the Company in accordance with Article 93 of the Company’s articles of association, and will not stand for re-election. After her retirement, she will no longer serve as a member of the Audit Committee.

At the same time, Zhang Mingming has been appointed as an independent non-executive director of the Company and a member of the Remuneration Committee; and Wu Shuyun has been appointed as an independent non-executive director of the Company and a member of the Audit Committee.

O’Gordon will assume the role of a director of Swire Group (the holding company of Swire Group) in the United Kingdom, and will be transferred to serve as a non-executive director of the Company. After the transfer, O’Gordon will no longer serve as the chairperson of the Remuneration Committee and the Nomination Committee of the Company.

Xu Ying will take over from O’Gordon as the chairperson of the Remuneration Committee and the Nomination Committee of the Company. Bao Yiqiu will be appointed as a member of the Nomination Committee. These changes will take effect upon the conclusion of the Company’s 2026 annual general meeting of shareholders to be held on the 14th of next month.
