YF Wireless: Joint Wireless Hong Kong plans to jointly invest 10 million yuan with Shanghai Shokley to establish a subsidiary

Yingfang Microelectronics’ announcement: The company’s controlling subsidiary, United Wireless Hong Kong, intends to jointly invest with Shanghai Shokeli to establish a subsidiary, United Wireless Shanghai, by investing RMB 10 million. Among this, United Wireless Hong Kong will invest RMB 5.5 million, representing 55% of the equity, and Shanghai Shokeli will invest RMB 4.5 million, representing 45% of the equity. From a prudent perspective, this transaction is deemed to constitute a related-party transaction because Shanghai Shokeli is one of the transaction targets in the company’s major asset restructuring matters, and Shanghai Jinglan, the shareholder of Shanghai Shokeli, has been recognized as a related party of the company. The proposal has been deliberated and approved by the board of directors. This transaction does not constitute a major asset restructuring, does not constitute a restructuring for a listing, and does not require approval from relevant authorities.
