Announcement on the Cancellation of Certain Special Accounts for Raised Funds

The board of directors of our company and all directors guarantee that the content of this announcement does not contain any false records, misleading statements or major omissions, and bear individual and joint responsibility for the authenticity, accuracy, and completeness of its content.

I. Basic Situation of Raised Funds

According to the approval by the China Securities Regulatory Commission on the “Approval of China Software and Technology Service Co., Ltd. to Issue Stocks to Specific Objects” (CSRC Permission [2025] No. 1229), China Software and Technology Service Co., Ltd. (hereinafter referred to as the company) issued 90,130,689 A-shares to specific objects at an issue price of RMB 22.19 per share, raising a total of RMB 1,999,999,988.91, deducting the related issuance expenses (excluding tax) of RMB 6,913,613.79, the actual net amount of raised funds is RMB 1,993,086,375.12. As of June 25, 2025, the raised funds have been fully transferred to the company’s special account for this issuance. On June 25, 2025, Zhongxinghua Accounting Firm (Special General Partnership) issued the “Capital Verification Report” (Zhongxinghua Verification No. (2025) 010042).

II. Management and Storage of Raised Funds

(1) Management of Raised Funds

In order to standardize the management and use of raised funds, and to protect the rights and interests of investors, in accordance with relevant laws, regulations, and the “Shanghai Stock Exchange Stock Listing Rules,” “Shanghai Stock Exchange Listed Company Self-Regulatory Guidelines No. 1 - Standard Operations,” and other normative documents, as well as the relevant provisions of the “Management System for Raised Funds of China Software and Technology Service Co., Ltd.,” the company signed the “Three-party Supervision Agreement for Raised Fund Storage” with the Beijing Cuiwei Road Branch of Industrial and Commercial Bank of China Limited and CITIC Securities Co., Ltd., signed the “Four-party Supervision Agreement for Raised Fund Storage” with Qilin Software Co., Ltd., the Head Office of Agricultural Bank of China Limited, and CITIC Securities Co., Ltd., signed the “Four-party Supervision Agreement for Raised Fund Storage” with Qilin Software Co., Ltd., the Beijing Branch of China Minsheng Bank Limited, and CITIC Securities Co., Ltd., and signed the “Four-party Supervision Agreement for Raised Fund Storage” with Qilin Software Co., Ltd., the Beijing Branch of China Merchants Bank Limited, and CITIC Securities Co., Ltd., to implement special account storage management for raised funds.

III. Cancellation of This Raised Funds Account

In view of the fact that the raised funds deposited in the special account (account number: 0200004629200921057) opened by the company at the Beijing Gongzhufen Branch of Industrial and Commercial Bank of China Limited have been used up as required, this special account for raised funds will no longer be used. In order to facilitate the management of the raised funds special account and reduce management costs, the company has recently completed the cancellation procedures for the above-mentioned raised funds special account. After the cancellation of the above-mentioned raised funds special account, the corresponding “Three-party Supervision Agreement for Raised Fund Storage” will be terminated accordingly.
